As a real estate agent working under a brokerage firm (the “Broker”) that entered into a Brokerage Participation Agreement (the “Participation Agreement”) with Opcity, Inc. (“Opcity”), I agree that, should I accept a consumer lead from Opcity (each a “Referral”) and subsequently close a transaction with such Referral, I am bound to the Referral payment obligation in the Participation Agreement even if I were to separate from the Broker. Referral also includes any consumer(s) that is (are) interested in real estate and is(are) referred by the Referral to Agent for the purpose of a real estate transaction during the Referral Coverage Period (as later defined). The value associated with the Referral is not disrupted by the transfer of brokers and my benefitting from the Referral without paying the Referral fee is considered unjust enrichment.

By participating in the Opcity referral program, I understand that I am obligated to pay any referral amounts owed to Opcity for any transactions executed with a Referral for twenty‐four (24) months (the “Referral Coverage Period”) notwithstanding a termination in my relationship with my current Broker. I understand that Opcity retains the right to pursue me individually for Referral amounts owed and to notify any new broker that I enter into a contractual relationship with of my obligations (including providing a copy of this Agent Referral Agreement). As Opcity owns the referrals that are sourced, vetted and marketed to brokers, I understand that Opcity also retains the right to contact the referral homebuyer regarding my payment obligation.

I further understand that upon termination with R1 Realty I agree to pay the sum of $650 plus the agreed upon Opcity Referral fee for each closed referral as defined above to R1 Realty. I understand that R1 Realty will collect any sums owed Opcity and make payment to Opcity on agents’ behalf. Agent is expected to notify any new broker of any closed referral so broker can facilitate payment to R1 Realty.
